LiveSolver Terms of Service

By accessing or using the LiveSolver application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Description of Service

LiveSolver is a mobile application that allows users to record poker hand histories and export them to third-party analysis tools. The Service may include a companion desktop connector application and cloud-based relay server.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that your use of the Service complies with all applicable local, state, national, and international laws and regulations.

3. Account and Authentication

You are responsible for maintaining the confidentiality of your account credentials, pairing codes, and any information associated with your account. You are fully responsible for all activity that occurs under your account. LiveSolver is not liable for any loss or damage arising from your failure to safeguard your account information.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.

  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.

  • Interfere with or disrupt the integrity or performance of the Service.

  • Use the Service to transmit any malicious code, viruses, or harmful data.

  • Resell, sublicense, or redistribute access to the Service without prior written consent.

  • Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable use.

5. Data and Content

5.1 Your Data

You retain ownership of any hand history data, session records, or other content you create or input through the Service ("User Data"). You grant LiveSolver a limited, non-exclusive license to process, transmit, and temporarily store your User Data solely for the purpose of providing the Service to you.

5.2 Data Storage and Loss

Hand history data may be stored locally on your device, on our servers, or transmitted to third-party services at your direction. LiveSolver is not responsible for any loss, corruption, or unauthorized access to your data, whether caused by device failure, software errors, network interruptions, server outages, or any other reason. You are solely responsible for maintaining your own backups of any data that is important to you.

5.3 Data Accuracy

The Service relies on user input to generate hand histories. LiveSolver does not verify the accuracy or completeness of any hand data you enter. You are solely responsible for the correctness of your recorded hands, and LiveSolver makes no representations about the accuracy of any generated hand history files, analysis, or exported data.

5.4 Third-Party Services

The Service may facilitate the export of data to third-party platforms and analysis tools. LiveSolver is not affiliated with, endorsed by, or responsible for any third-party service. Your use of any third-party service is governed by that service's own terms and policies. LiveSolver is not liable for any issues arising from the interaction between the Service and any third-party platform, including but not limited to data formatting errors, rejected imports, or account-related consequences on third-party platforms.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIVESOLVER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

  • ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR CONTENT PROVIDED THROUGH THE SERVICE.

  • ANY WARRANTY THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

While we endeavor to maintain and improve the Service and to address issues as they arise, we make no guarantees regarding uptime, availability, performance, or the resolution of any particular bug or issue.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIVESOLVER, ITS OWNERS, OPERATORS, AFFILIATES, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

  • DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE.

  • DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS.

  • DAMAGES RESULTING FROM THE CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE.

  • DAMAGES RESULTING FROM ANY INTERRUPTION OR CESSATION OF THE SERVICE.

THIS APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF LIVESOLVER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow the exclusion or limitation of certain damages, LiveSolver's liability shall be limited to the maximum extent permitted by law. In no event shall LiveSolver's total aggregate liability exceed the amount you have paid to LiveSolver for the Service in the twelve (12) months preceding the claim, or fifty dollars ($50 USD), whichever is greater.

8. Security

8.1 Our Efforts

We take reasonable measures to protect the security of the Service and your data, including encryption of data in transit and secure authentication mechanisms. We are committed to promptly addressing any security vulnerabilities that are discovered.

8.2 No Guarantee of Security

No method of electronic transmission or storage is 100% secure. While we strive to use commercially reasonable means to protect your data, we cannot guarantee its absolute security. LiveSolver is not responsible for any damages resulting from any security breach, unauthorized access, data interception, or other security incident, whether or not we were aware of or could have prevented such incident.

8.3 Security Incident Notification

In the event of a security incident that we believe materially affects your data, we will make reasonable efforts to notify affected users in a timely manner, consistent with applicable law and the needs of law enforcement.

8.4 Your Responsibilities

You are responsible for maintaining the security of your own devices, network connections, and account credentials. LiveSolver is not liable for any security issues arising from your failure to maintain adequate security practices on your end.

9. Indemnification

You agree to indemnify, defend, and hold harmless LiveSolver, its owners, operators, affiliates, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of any third party.

10. Service Availability and Modifications

10.1 Availability

We strive to keep the Service available and operational, but we do not guarantee continuous, uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control.

10.2 Modifications

LiveSolver reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10.3 Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

11. Intellectual Property

The Service, including its design, code, features, and branding, is the property of LiveSolver and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including, without limitation, disclaimers, limitations of liability, and indemnification) shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LiveSolver regarding the Service and supersede all prior agreements and understandings.
